IMPORTANT: READ CAREFULLY. This End-User License Agreement ("Agreement") is a legal agreement between you (either an individual or a single entity, "You") and B2BITZ ("Licensor") for the B2BITZ software plug-in, together with any associated media, presets, and documentation ("Software"). By installing, copying, activating, or otherwise using the Software, You agree to be bound by the terms of this Agreement. If You do not agree, do not install or use the Software.

1. License Grant

Subject to Your compliance with this Agreement and, where applicable, payment of the applicable license fee, Licensor grants You a non-exclusive, non-transferable, revocable license to install and use the Software as follows:

(a) Full License. A paid Full License is perpetual and entitles You, as a single user, to install and use the Software on computers that You own or control, for Your own music-production purposes.

(b) Demo License. The demonstration license allows the use of the Software with limited functionality. The demonstration version is provided solely for evaluation purposes.

2. License Keys

The Software requires a valid license key to disable the audio watermark. You are responsible for keeping your license key confidential.

3. Restrictions

You may NOT: (a) copy, distribute, resell, rent, lease, sublicense, lend, or otherwise transfer the Software or your license key to any third party; (b) share, publish, or circumvent the license key or activation mechanism; (c) reverse engineer, decompile, or disassemble the Software, except to the extent expressly permitted by applicable law notwithstanding this limitation; (d) remove or alter any proprietary notices or labels on the Software.

4. Ownership

The Software is licensed, not sold. Licensor and its suppliers retain all right, title, and interest in and to the Software, including all intellectual property rights therein. This Agreement grants You no rights other than those expressly set out above. Presets and settings you create with the Software are yours.

5. Updates

Licensor may, at its discretion, provide updates or bug fixes for the Software. Any such updates are subject to this Agreement unless accompanied by a separate license, in which case the terms of that license govern.

6. Termination

This Agreement is effective until terminated. It terminates automatically without notice if You fail to comply with any of its terms. Upon termination, You must cease all use of the Software and destroy all copies in Your possession.

7. Disclaimer of Warranty

THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTY OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. LICENSOR DOES NOT WARRANT THAT THE SOFTWARE WILL BE UNINTERRUPTED OR ERROR-FREE. YOU ASSUME THE ENTIRE RISK AS TO THE QUALITY AND PERFORMANCE OF THE SOFTWARE.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL LICENSOR BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SOFTWARE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. LICENSOR'S TOTAL LIABILITY UNDER THIS AGREEMENT SHALL NOT EXCEED THE AMOUNT YOU ACTUALLY PAID FOR THE LICENSE.

9. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of Poland, without regard to its conflict-of-laws principles, and the courts of Poland shall have jurisdiction over any dispute arising from it. If any provision of this Agreement is held to be unenforceable, the remaining provisions shall remain in full force and effect.
